Terms of Service

1. The Service

Quarey provides restaurant management software, including modules for POS, kitchen display (KDS), delivery and rider management, inventory, accounting, multi-branch operations, and (where enabled) a Health/Pharma vertical and local tax authority integrations. Not all modules are available on every plan; availability is controlled by your plan's active_modules.

2. Accounts and tenants

• You must provide accurate information when creating an account and keep your login credentials secure.
• Each Customer operates within an isolated tenant (identified by a unique subdomain or custom domain). You are responsible for all activity under your tenant, including actions by your staff accounts.
• You must be authorized to bind the business you are signing up on behalf of.

3. Plans, billing, and add-ons

• Subscription plans, branch limits, and optional add-ons (including Extra Branch and Custom Domain) are described on our Pricing page and may change from time to time; material price changes will be communicated in advance.
• Payments are processed by Creem, acting as Merchant of Record. By subscribing, you also agree to Creem's applicable terms for payment processing.
• Fees are billed in advance on the cycle you select (monthly or annual) and are non-refundable except where required by law or expressly stated at signup.
• Failure to pay may result in suspension or downgrade of your account after notice.
• Custom domains remain routed only while the associated add-on subscription is active; if it lapses, we may revert routing to your default *.quarey.com subdomain.

4. Your data and content

• As between you and Quarey, you (or, where applicable, your restaurant business) own the data you input into the Service — including menu data, orders, guest data, staff data, and inventory records ("Customer Data").
• You grant Quarey a limited license to host, process, and transmit Customer Data solely to provide and support the Service.
• You are responsible for the accuracy of Customer Data and for having the necessary rights and consents to submit any personal data (including guest or staff data) into the Service.
• Where you enable a tax authority integration (FBR, PRA, SRB, KPRA), you are responsible for the accuracy of the credentials and data submitted and for your own compliance with that authority's requirements; Quarey transmits data strictly as configured and instructed.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or to process data you are not authorized to process;
• Attempt to bypass tenant isolation, access another tenant's data, or probe/scan the Service for vulnerabilities without authorization;
• Interfere with the Service's operation (including excessive automated querying) or attempt to reverse-engineer the platform;
• Use the Service to send unsolicited communications or to store unlawful, infringing, or abusive content.

We may suspend accounts that violate this section, with notice where practicable.

6. Third-party services

The Service relies on infrastructure and processing partners including Supabase (backend/database), Vercel (hosting and domain routing), Creem (payments), and Google/FCM (push notifications), along with government tax authority APIs where you enable that integration. Their availability and performance may affect the Service, and their own terms may separately apply to data they process.

7. Availability

We aim to keep the Service available but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages (e.g. hosting or payment provider incidents), or force majeure events may cause downtime. Offline-capable modules (e.g. the desktop POS) are designed to continue core operations during connectivity loss and sync when reconnected, but this is not guaranteed for every feature.

8. Intellectual property

Quarey and its licensors retain all rights, title, and interest in the Service, including its software, design, and branding. These Terms do not grant you any rights to Quarey's intellectual property beyond the limited right to use the Service as intended. You retain all rights to your own Customer Data and branding.

9. Confidentiality

Each party will use the other's confidential information only to perform under these Terms and will protect it with reasonable care. This does not restrict disclosures required by law.

10. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Quarey disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Quarey does not warrant that tax integrations will guarantee regulatory compliance — you remain responsible for your own compliance obligations.

11. Limitation of liability

To the maximum extent permitted by law, Quarey will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising from use of the Service. Quarey's total liability for any claim arising from these Terms or the Service will not exceed the amount you paid Quarey in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold Quarey harmless from claims arising from your Customer Data, your breach of these Terms, or your violation of applicable law (including data protection or tax law) in your use of the Service.

13. Termination

• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
• We may suspend or terminate accounts for non-payment, breach of these Terms, or unlawful use, with notice where practicable.
• Upon termination, we will make Customer Data available for export for a reasonable period before deletion, except where legal obligations require longer retention.

14. Changes to these Terms

We may update these Terms from time to time. We will post the revised version on this page and update the "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles, unless otherwise required by mandatory local law applicable to you (e.g. UK/EU consumer or data protection law).
